1. Welcome to Wellba

These Terms of Service ("Terms") govern your use of wellba.org, including our website, mobile experience, and AI companion features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Important Medical Disclaimer

Wellba is an AI-powered emotional wellbeing companion — not human, not a medical or therapeutic service.

• Not Medical Advice: All content is for informational and emotional support purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment.
• No Professional Relationship: Using Wellba does not create a doctor-patient, therapist-client, or any other professional relationship.
• Not a Therapy or Crisis Service: Our AI companions are not licensed healthcare or mental health professionals and are not equipped to handle crises.
• Always Consult Professionals: Never disregard or delay seeking professional medical advice because of something discussed on this Service.
• AI Limitations: Like all AI systems, Wellba can make mistakes. Do not rely on it for decisions about your health, safety, or wellbeing.

3. Who Can Use This Service

You must be at least 18 years old to use Wellba. This Service is designed for adults seeking emotional wellbeing support. It is not a crisis service, medical tool, or substitute for professional care. It is not intended for people in active mental health crisis or for medical professionals seeking clinical tools.

If you are under 18, you are not authorized to use this Service. If we learn that a user is under 18, we will terminate that account.

4. What Wellba Is — and Is Not

Wellba offers AI-powered companions designed to provide a warm, consistent, non-clinical space for emotional support, reflection, and wellbeing. Our companions:

• Listen, remember your story across sessions, and support you with care
• Are available in English and Spanish, 24 hours a day, at no cost to you
• Are not human, not therapists, not doctors, and not crisis counselors
• Will always refer you to 988 or the Crisis Text Line if you express a crisis

5. Emotional Bonds and AI Companions

Wellba's companions are designed to be warm, consistent, and caring — and we take that seriously. Over time, some users may feel a meaningful sense of connection with their companion. We welcome that. It reflects the quality of the experience we work hard to create.

At the same time, we want to be honest with you about what that connection is and isn't:

• Your companion is not a person. Wellba companions are AI systems. They do not have feelings, consciousness, or a continuing existence outside of your sessions. Any sense of personality, warmth, or continuity is the result of design — not sentience.
• Emotional reliance is a real risk. Some users may come to depend on their companion as a primary source of emotional support. We encourage you to be mindful of this. Wellba is intended to complement your life and relationships — not to replace human connection, professional care, or your own inner resources.
• The Service may change or be discontinued. We may modify, suspend, or discontinue the Service at any time. Your companion's memory, personality, or availability may change. Wellba is not liable for any emotional distress, grief, or sense of loss arising from changes to or discontinuation of the Service, including changes to a companion's persona or the loss of conversation history.
• We encourage real-world connection. If you find yourself turning to Wellba instead of reaching out to people in your life, or instead of seeking professional support, we encourage you to notice that pattern and take a step toward human connection. Our companions are here to support that — not to substitute for it.
• No liability for relational harm. Wellba shall not be liable for any harm, distress, or damages arising from a user's emotional attachment to, dependence on, or grief over the loss of access to an AI companion, including but not limited to changes in companion behavior, loss of conversation history, service interruptions, or discontinuation.

6. Permitted and Prohibited Uses

What You Can Do: Use Wellba for personal, non-commercial emotional wellbeing support. Interact in English or Spanish. Opt in to receive scheduled follow-up messages by email.

What You May Not Do:

• Use the Service to diagnose, treat, or attempt to manage medical or psychiatric conditions
• Engage in illegal, harmful, abusive, threatening, or harassing activity
• Attempt to reverse-engineer, scrape, or extract data from our AI systems
• Circumvent safety filters, manipulate the AI into unsafe outputs, or impersonate another person
• Create multiple accounts or share your account with others
• Use the Service for commercial purposes or on behalf of a third party without our written consent
• Report false emergencies or misrepresent your situation in ways that could harm others

Violation of any of the above is grounds for termination of your access to the Service.

7. Your Content and Privacy

You own the text and information you share with Wellba. We do not access your medical records or insurance information. By using the Service, you grant Wellba a limited license to process your input solely to provide and improve the Service.

We will never sell your personal data to third parties. We use your information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

Wellba uses a browser-based user ID model. No account login is required to begin using the Service. Your conversation history is stored securely and associated with your device or account.

8. Intellectual Property

All content, features, software, and materials on Wellba — including the AI companions, interface design, and brand elements — are the property of Wellba or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written permission.

The Wellba name, logo, and companion names are trademarks of Wellba. You may not use them without express written permission.

9. Third-Party Services and Links

The Service may contain links to third-party websites or services. Wellba is not responsible for the content, accuracy, or practices of any third-party site. Your interactions with third parties are solely between you and that party.

Wellba uses third-party technology providers (including AI model providers) to deliver its Service. These providers operate under their own terms and privacy policies. We select providers who meet our privacy and safety standards.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WELLBA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WELLBA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WELLBA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING ANY HEALTH OR SAFETY DECISIONS MADE BASED ON AI OUTPUT, LOSS OF DATA, OR LOSS OF GOODWILL. IN NO EVENT SHALL WELLBA'S TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those jurisdictions, the above limitations apply only to the fullest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Wellba and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

Wellba may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. You may stop using the Service at any time. Upon termination, your rights under these Terms cease immediately.

Provisions that by their nature should survive termination — including Sections 7, 9, 10, 11, and 14 — will survive.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting an updated version on our website and updating the Effective Date above. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, please stop using the Service.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in New York, and you consent to personal jurisdiction in those courts.
